This Indemnity & Waiver Agreement applies to every buyer who purchases products from Renew Compounds LLC. By placing an order, you agree to the terms set out below in addition to our Terms of Service and Research Use Only Policy.
1. Acknowledgment of Research Use Only
You acknowledge that all products purchased from Renew Compounds LLC are supplied strictly for laboratory research purposes and are not approved for human or animal use of any kind. You acknowledge that these products are not drugs, dietary supplements, or medical devices, and that Renew Compounds LLC makes no representation that they are safe or effective for any use outside of a controlled research setting.
2. Assumption of Risk
You understand that research compounds carry inherent risks when handled outside of proper laboratory conditions, and you voluntarily assume all risk associated with the purchase, handling, storage, and use of any product you buy from Renew Compounds LLC.
3. Waiver of Claims
To the fullest extent permitted by law, you waive and release Renew Compounds LLC, its owners, employees, and agents from any and all claims, damages, injuries, or losses arising from the purchase, handling, storage, resale, or use of any product, including any use that violates our Research Use Only Policy.
4. Indemnification of Renew Compounds LLC
You agree to indemnify, defend, and hold harmless Renew Compounds LLC, its owners, employees, and agents from any claims, damages, liabilities, costs, or expenses, including reasonable legal fees, arising from your use of our products, your breach of this agreement, your violation of any applicable law, or any claim brought by a third party arising from your resale or distribution of our products.
5. Responsibility for Downstream Buyers
If you resell, distribute, or white label products purchased from Renew Compounds LLC, you agree to pass along the Research Use Only requirements to your own buyers and to take responsibility for ensuring your downstream customers understand and agree to these same restrictions. Renew Compounds LLC bears no responsibility for how a downstream buyer ultimately uses a product once it has left your business.
6. No Medical or Therapeutic Claims
You agree not to make, and not to permit your own customers to make, any medical, therapeutic, or health-related claims about products purchased from Renew Compounds LLC. Nothing in our marketing, documentation, or communication should be interpreted as a claim that any product treats, cures, or prevents any disease or condition.
7. Compliance with Applicable Law
You are solely responsible for confirming that your purchase, possession, and use of products from Renew Compounds LLC complies with all applicable local, state, and federal laws in your jurisdiction. Renew Compounds LLC makes no representation regarding the legal status of any compound in your specific location.
8. Severability
If any part of this agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
9. Acceptance of This Agreement
By submitting a wholesale inquiry or placing an order with Renew Compounds LLC, you confirm that you have read, understood, and agreed to this Indemnity & Waiver Agreement in full, on behalf of yourself and any business entity you represent.
